1. Acceptance of Terms

By accessing or using the Clarkstone Enterprise website (the "Site") or submitting any information through our forms, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, please do not access or use the Site or submit any information. Your continued use of the Site following any updates to these Terms constitutes your acceptance of those changes.

2. Description of Services

Clarkstone Enterprise is a private land acquisition firm that reviews off-market land parcels and facilitates introductions between landowners and development partners. The Site provides information about our services and allows users to submit property information or acquisition criteria for our internal review.

Clarkstone Enterprise is not a licensed real estate broker, agent, dealer, or financial advisor. Nothing on this Site constitutes an offer to purchase, an agreement to purchase, or a binding commitment of any kind.

3. No Purchase Obligation

Submitting a property for review through our Site does not create any obligation on the part of Clarkstone Enterprise to purchase, acquire, option, or take any other action with respect to your property. All decisions regarding property acquisition are made at the sole and absolute discretion of Clarkstone Enterprise.

We reserve the right to decline any submission for any reason without explanation.

4. Submission of Property Information

By submitting property information through our forms, you represent, warrant, and agree that:

• You are the legal owner of the property or are expressly authorized by the legal owner to submit information about it and to enter into discussions regarding it • All information you provide is accurate, complete, and not misleading to the best of your knowledge • You have the legal authority, capacity, and right to enter into discussions or potential transactions regarding the property • Your submission does not violate any third-party rights, agreements, encumbrances, or applicable laws • You will promptly notify Clarkstone Enterprise of any changes to the information you have submitted

Clarkstone Enterprise reserves the right to verify any information provided and to discontinue engagement if any representation is found to be inaccurate.

5. SMS Communications and TCPA Compliance

By providing your mobile phone number and affirmatively checking the SMS consent box on our contact form, you expressly consent in writing to receive text messages from Clarkstone Enterprise, including messages sent using an automatic telephone dialing system or artificial or prerecorded voice, to the mobile number provided. This consent is not a condition of any purchase, service, or agreement.

By opting in, you acknowledge and agree to the following:

• You may receive messages related to your property submission, acquisition inquiry, and related communications • Message frequency varies • Message and data rates may apply • You may opt out at any time by replying STOP to any message you receive from us. Upon receiving your STOP request, we will send one final confirmation message and remove you from future SMS communications • To request assistance, reply HELP or contact acquisition@clarkstoneenterprise.com • Opting out will not affect any other services or your ability to submit a property for review

We comply with the Telephone Consumer Protection Act (TCPA), applicable FCC regulations, and wireless carrier guidelines governing A2P (Application-to-Person) text messaging. We do not share your mobile number with third parties for marketing purposes.

6. No Legal, Financial, or Real Estate Advice

Nothing on this Site or in any communication from Clarkstone Enterprise constitutes legal, financial, tax, real estate, investment, or professional advice of any kind. Information provided is for general informational purposes only.

You should consult with a qualified and licensed attorney, financial advisor, real estate professional, and/or tax advisor before making any decisions regarding the sale, transfer, encumbrance, or development of your property. Clarkstone Enterprise expressly disclaims any liability arising from your reliance on information provided through this Site.

7. Confidentiality

Clarkstone Enterprise treats all property submissions and related communications with discretion. However, submitting information through our Site does not create a formal confidentiality agreement unless a separate written agreement is executed between the parties.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CLARKSTONE ENTERPRISE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLARKSTONE ENTERPRISE AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site • Any property submission or related communication • Any decision made in reliance on information provided through the Site • Any unauthorized access to or alteration of your submissions

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CLARKSTONE ENTERPRISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Clarkstone Enterprise and its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Site • Any property information you submit • Your violation of these Terms • Your violation of any applicable law or third-party right • Any misrepresentation you make in connection with a submission

12. Privacy

Your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you also consent to the data practices described in the Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in Virginia in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Modifications to These Terms

Clarkstone Enterprise reserves the right to update, modify, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the Effective Date at the top of this page.

Your continued access to or use of the Site after any changes become effective constitutes your binding acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Site.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clarkstone Enterprise with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.
